Terms of Service

1. Acceptance of Terms

By accessing or using TradeKhata ("Service"), operated by Shilpakar Tech LLP (GST: 27AFJFS1790R1Z1), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

TradeKhata is a trading journal and analytics platform for Indian traders. We provide read-only access to your trading data for analysis purposes only. We are not a broker, trade executor, or investment advisor.

2. Service Description

What TradeKhata Does:

• Imports your trade history from supported brokers via OAuth or CSV upload
• Analyzes your trading patterns and emotional triggers
• Provides performance analytics and reports
• Allows you to tag trades with emotions and strategies

What TradeKhata Does NOT Do:

• ❌ We CANNOT and WILL NOT place trades on your behalf
• ❌ We do not provide investment advice or recommendations
• ❌ We do not execute, modify, or cancel orders
• ❌ We have no access to your funds or withdrawal capabilities

3. Pricing & Payments

Early Bird Lifetime Offer:

• Price: ₹19,999 + 18% GST = ₹23,598.82 (total)
• Limited to first 50 users
• Non-refundable (See Section 5)
• Includes lifetime access to all features
• Product access granted within 4-6 weeks of purchase

Post Early Bird Pricing:

• Lifetime: Starts at ₹24,999 + GST (increases every 150 users)
• Monthly: ₹1,999 + GST per month

GST & Payment Gateway Fees:

All prices are subject to 18% GST as per Indian tax regulations. Payment processing fees (~2.5%) are borne by us during normal operations but are not refundable if you request a cancellation or refund.

4. Subscription Terms

Monthly Subscriptions:

• Billed monthly on the same date
• Auto-renewal unless cancelled
• Cancel anytime through account settings
• Access continues until end of billing period
• No pro-rated refunds for partial months

Lifetime Access:

• One-time payment for perpetual access
• Access to all features as they're released
• Founding members get priority support
• Non-refundable after purchase

5. Refund Policy

What is NOT Refunded:

• GST (18%): Remitted to Indian government, cannot be refunded
• Payment Gateway Fees (~2.5%): Charged by payment processor (Razorpay), non-recoverable
• Lifetime subscriptions: Non-refundable under any circumstances

Monthly Subscription Cancellations:

Cancel anytime. No refunds for current month. Access continues until period ends. Your data is retained for 90 days after cancellation, then permanently deleted.

Exceptions:

If TradeKhata MVP is not delivered within 90 days of early bird purchase, full refunds will be issued (minus GST already remitted).

6. Data Usage & Privacy

• We access your trading data via read-only OAuth
• We store: trade history, P&L, emotions/strategy tags, broker connections
• We do not share your data with third parties
• We do not sell your data
• Data encrypted at rest and in transit
• Hosted on Digital Ocean servers in India

7. User Responsibilities

You agree to:

• Provide accurate information during registration
• Maintain the security of your account credentials
• Not share your account with others
• Not attempt to reverse engineer or breach the Service
• Not use the Service for illegal activities
• Comply with all applicable Indian laws and regulations

8. Service Availability

We strive for 99% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be announced in advance. We are not liable for:

• Broker API downtime or changes
• Third-party service failures (Razorpay, hosting providers)
• Internet connectivity issues on your end
• Force majeure events

10. Limitation of Liability

To the maximum extent permitted by law, Shilpakar Tech LLP shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Service, including but not limited to trading losses, lost profits, or data loss.

11. Termination

We reserve the right to suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent activity
• Abuse the Service or other users
• Fail to pay subscription fees (monthly users)

You may terminate your account anytime. Lifetime users retain access. Monthly users lose access at end of billing period.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be notified via email 30 days in advance. Continued use of the Service after changes constitutes acceptance of new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India.
